1. Welcome & Acceptance of Terms

Thank you for choosing Wihaa (“Wihaa”, “we”, “our”, or “us”), a digital fashion and wardrobe management platform owned and operated by Palak Dadhania and/or Wihaa. These Terms & Conditions (“Terms”) govern your access to and use of Wihaa’s website(s), mobile application(s), APIs, software, browser extensions, wearable integrations, artificial intelligence tools, future technologies, and all related products, features, content, and services (collectively, the “Platform”). Our goal is to make fashion organization, wardrobe management, and personalized styling simple, enjoyable, and secure while respecting your rights, privacy, and ownership of your content.

1.1 Legally Binding Agreement

These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and Wihaa regarding your access to and use of the Platform and any services made available through it. By: accessing or browsing the Platform; creating an account; clicking “Accept”, “Agree”, or any similar button; uploading content, photographs, or information; using any feature, service, or functionality of the Platform; or otherwise interacting with the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, please do not access or use the Platform.

1.2 Electronic Record and Digital Acceptance

These Terms constitute an electronic record in accordance with the provisions of the Information Technology Act, 2000 and applicable rules made thereunder. This electronic record is generated by a computer system and does not require any physical, electronic, or digital signature. Your access to or use of the Platform constitutes your electronic acceptance of these Terms and creates a legally binding agreement between you and Wihaa.

1.3 Additional Policies and Terms

Your use of the Platform is also subject to: Privacy Policy; Intellectual Property & Confidentiality Policy; Community Guidelines; Help Centre and FAQ pages; Subscription Terms; Promotional Terms; Referral Program Terms; Beta Feature Terms; and any additional policies, notices, guidelines, or terms published by Wihaa from time to time (collectively, the “Additional Terms”). The Additional Terms are hereby incorporated into and form an integral part of these Terms. In the event of any conflict between these Terms and the Additional Terms, the Additional Terms shall prevail solely with respect to the applicable feature, service, or program.

1.4 Changes to Terms and Services

Wihaa reserves the right, at its sole discretion and at any time, to: modify; update; add; remove; suspend; or discontinue any portion of these Terms, the Platform, or any feature or service offered through the Platform. The latest version of the Terms will always be available on the Platform. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms.

1.5 Authority to Accept Terms

If you are using the Platform on behalf of a company, organization, institution, partnership, or any other legal entity, you represent and warrant that: you have the authority to bind such entity to these Terms; and such entity agrees to be bound by these Terms. In such cases, the terms “you” and “your” shall refer to both the individual and the applicable legal entity.

1.6 Limited Licence to Use the Platform

Subject to your compliance with these Terms, Wihaa grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely for its intended purposes. No rights, title, or interest in the Platform or its intellectual property are transferred to you.

1.7 Service Communications

By using the Platform, you consent to receive communications from Wihaa, including: service-related notifications; account and security alerts; transactional communications; policy updates; support communications; and other notices necessary for the operation of the Platform. Marketing communications shall be subject to your communication preferences and applicable laws.

1.8 Discontinuation of Use

If you do not agree with these Terms or any future modifications thereto, you must immediately discontinue your access to and use of the Platform.

2. Definitions

For the purposes of these Terms & Conditions, unless the context otherwise requires, the following terms shall have the meanings assigned to them below:

  • “Account” means the registered profile created by a User to access and use certain features or services of the Platform.
  • “Additional Terms” means any additional terms, policies, notices, guidelines, rules, or conditions applicable to specific services, features, promotions, subscriptions, programs, or offerings provided through the Platform.
  • “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Wihaa.
  • “AI Features” means any artificial intelligence, machine learning, computer vision, recommendation engine, automation, predictive analytics, or similar technologies made available through the Platform.
  • “Beta Features” means experimental, testing, pre-release, pilot, or evaluation features, functionalities, products, or services that may be modified, suspended, or discontinued at any time.
  • “Confidential Information” means any non-public information relating to Wihaa, including business strategies, software, algorithms, source code, product roadmaps, databases, designs, financial information, processes, methodologies, and proprietary technology.
  • “Content” means any information, text, photographs, images, videos, audio, graphics, comments, data, tags, or other materials uploaded, generated, stored, displayed, or transmitted through the Platform.
  • “Digital Closet” means the virtual wardrobe, inventory, collection, organization system, or storage space maintained by a User on the Platform for managing clothing, accessories, footwear, beauty products, and related information.
  • “Fashion Intelligence Framework” means the proprietary classification systems, categories, hierarchies, identifiers, metadata structures, naming conventions, organizational methodologies, data models, and related frameworks developed, owned, or used by Wihaa for organizing and categorizing fashion and lifestyle products.
  • “Feedback” means any suggestion, recommendation, idea, proposal, enhancement request, comment, or other input provided by a User regarding the Platform or its services.
  • “Intellectual Property Rights” means all present and future intellectual property rights, including copyrights, trademarks, trade names, patents, trade secrets, database rights, design rights, know-how, domain names, proprietary technology, and all similar rights recognized under applicable law.
  • “Metadata” means information or data generated, derived, associated with, or related to Content or User activities, including categories, tags, classifications, attributes, identifiers, usage patterns, and analytical information.
  • “Wihaa”, “Platform”, “we”, “our”, or “us” means Palak Dadhania and/or Wihaa, including their successors, affiliates, subsidiaries, assigns, and authorized representatives, as applicable.
  • “Platform” means the Wihaa website(s), mobile application(s), APIs, software, browser extensions, artificial intelligence tools, future technologies, and all related products, services, features, and digital offerings operated by Wihaa.
  • “Recommendations” means any suggestions, insights, classifications, outfit combinations, styling advice, product recommendations, or other outputs generated manually, algorithmically, or through AI Features.
  • “Services” means all products, functionalities, tools, programs, features, subscriptions, recommendations, integrations, and other services made available by or through the Platform.
  • “Subscription Services” means any paid, premium, recurring, or membership-based products or services offered through the Platform.
  • “Third-Party Services” means any products, services, software, websites, applications, payment providers, retailers, social media platforms, or integrations provided by persons or entities other than Wihaa.
  • “User”, “you”, or “your” means any natural person, company, organization, institution, partnership, or other legal entity that accesses or uses the Platform.
  • “User Content” means any Content submitted, uploaded, stored, posted, transmitted, or otherwise made available by a User through the Platform.
  • “Wardrobe Data”means all information relating to a User’s wardrobe, including clothing information, images, product details, categories, tags, preferences, outfit history, saved looks, measurements, wish lists, purchase history, usage patterns, and related information stored on or generated through the Platform.
  • “Biometric Information” means body measurements, body dimensions, sizing information, facial geometry, avatar information, and other characteristics derived from images or user inputs that may be used to provide sizing, fit, virtual try-on, or related services. This does not mean Wihaa is collecting sensitive biometric identifiers like fingerprints or retina scans. It simply future-proofs the legal framework for body-measurement and avatar technologies.

3. Eligibility & Account Registration

3.1 Eligibility

To access or use the Platform, you must: be at least ten (10) years of age or have obtained the consent of your parent or legal guardian, where permitted by applicable law; have the legal capacity to enter into a binding agreement under applicable law; not be prohibited from using the Platform under any applicable law or regulation; and comply with these Terms and all applicable laws. The Platform may be accessed by natural persons, companies, organizations, institutions, partnerships, and other legal entities. If you use the Platform on behalf of a legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

3.2 Account Registration

Certain features of the Platform may require you to create an Account. You may create an Account using email address; mobile number; social login services; single sign-on services; or any other registration method made available by Wihaa from time to time. You agree to provide accurate, complete, and up-to-date information during registration and to promptly update such information whenever it changes.

3.3 Account Verification

Wihaa reserves the right, at its sole discretion, to: verify your identity; request additional information or documentation; conduct security or fraud checks; and refuse, suspend, or limit registration if the information provided cannot be verified or appears inaccurate, misleading, fraudulent, or unlawful.

3.4 Account Credentials and Security

You are solely responsible for maintaining the confidentiality of your login credentials; restricting access to your devices and accounts; safeguarding passwords, authentication codes, and security information; and all activities conducted through your Account. You agree to notify Wihaa immediately if you become aware of any unauthorized access, security breach, or suspected misuse of your Account.

3.5 Responsibility for Account Activities

Unless otherwise required by applicable law, all actions performed through your Account shall be deemed to have been performed by you. Wihaa shall not be liable for any loss, damage, or unauthorized activity resulting from your failure to protect your Account credentials or devices.

3.6 Account Information

You agree that: the information provided by you is true, accurate, current, and complete; you will not impersonate any other person or entity; you will not create an Account using false or misleading information; and you will promptly update your information whenever necessary.

3.7 Multiple Accounts

Unless expressly permitted by Wihaa, you shall not create multiple Accounts for abusive, fraudulent, deceptive, or unlawful purposes. Wihaa reserves the right to merge, restrict, suspend, or terminate duplicate or suspicious Accounts.

3.8 Right to Refuse Registration

Wihaa may, at its sole discretion and without any obligation to provide reasons, refuse any registration request or deny access to the Platform where it reasonably believes that: the registration violates these Terms; the registration may expose the Platform to legal, security, operational, or reputational risks; or the registration is fraudulent, abusive, or otherwise inappropriate.

3.9 Account Suspension or Closure

Wihaa may suspend, restrict, or close an Account in accordance with these Terms, including where: these Terms are violated; fraudulent or unlawful activity is suspected; the Account remains inactive for an extended period; security concerns arise; or continued access may adversely affect the Platform or other users.

3.10 Future Account Features

Wihaa may introduce additional account features from time to time, including: profile customization; family or shared wardrobes; business accounts; creator accounts; premium memberships; linked devices; and other account functionalities. Such features may be subject to Additional Terms.

4. Services Offered & Platform Scope

4.1 Nature of the Platform

Wihaa is a fashion technology and digital wardrobe management platform that enables users to organize, manage, discover, analyse, and interact with fashion and lifestyle-related information, products, services, and experiences. The Platform may provide technology, tools, content, recommendations, and related services through websites, mobile applications, APIs, and other digital channels.

4.2 Services Offered

The Platform may provide, facilitate, or enable one or more of the following services: digital wardrobe and closet management; cataloguing and organization of clothing, footwear, accessories, beauty products, and lifestyle items; outfit creation and outfit planning; fashion categorization and classification; personalized recommendations and styling suggestions; artificial intelligence and image recognition services; wardrobe analytics and insights; fashion search and discovery tools; wish lists and collections; event, travel, and occasion planning; fashion inspiration and content; virtual styling, subscription-based services and premium features; and any other products, features, or services introduced by Wihaa from time to time.

4.3 Digital Wardrobe Services

The Platform may permit users to: upload and manage wardrobe information; create and maintain Digital Closets; categorize and organize personal belongings; save looks, outfits, and preferences; maintain clothing history and usage information.

4.4 Artificial Intelligence and Automation

The Platform may use artificial intelligence, machine learning, computer vision, recommendation engines, automation technologies, and similar technologies to: categorize products and images; generate metadata and tags; create recommendations and suggestions; provide analytics and insights; automate wardrobe management functions; and improve the Platform and user experience. Certain services may be experimental, automated, or generated using AI Features and may not always be complete, accurate, or error-free.

4.5 Third-Party Integrations

The Platform may integrate with: payment providers; logistics providers; calendar applications; wearable devices; third-party software and applications; and other service providers. Such integrations may be subject to Additional Terms and the terms of the applicable third parties.

4.6 Future Services and Platform Evolution

Wihaa is an evolving technology platform. We may: introduce new products or services; modify existing functionalities; discontinue certain services; launch experimental or Beta Features; expand into new business lines; or change the manner in which services are delivered. Nothing in these Terms shall obligate Wihaa to continue offering any specific feature, functionality, product, or service.

4.7 Geographic Availability

Certain features, products, services, integrations, promotions, or functionalities may not be available in all countries, regions, or jurisdictions. Wihaa reserves the right to determine the availability of any service in its sole discretion and may impose eligibility criteria or geographic restrictions from time to time.

4.8 No Professional Advice

Unless expressly stated otherwise, the Platform does not provide professional fashion, legal, financial, medical, or other professional advice. Any recommendations, suggestions, insights, or information provided through the Platform are for informational and convenience purposes only.

4.9 Service Availability

The Platform and its services may: experience interruptions; undergo maintenance; be temporarily unavailable; contain errors or inaccuracies; or be modified, suspended, or discontinued from time to time. Wihaa does not guarantee uninterrupted, secure, or error-free operation of the Platform or any specific service.

4.10 Beta Features

From time to time, Wihaa may make available experimental, testing, pilot, or pre-release features (“Beta Features”). Beta Features: may contain errors or inaccuracies; may be modified, suspended, or discontinued at any time; may not function as intended; and are provided on an “as is” and “as available” basis without warranties of any kind.

5. User Content, Wardrobe Data & Image Processing

5.1 User Content

Users may upload, submit, store, create, share, or otherwise make available Content through the Platform, including photographs, images, videos, comments, descriptions, preferences, measurements, wardrobe information, outfit information, and other materials (“User Content”). You are solely responsible for the User Content that you upload, submit, or make available through the Platform.

5.2 Ownership of User Content

Except as expressly provided in these Terms, you retain ownership of your User Content and any intellectual property rights that you may hold in such User Content. Nothing in these Terms transfers ownership of your User Content to Wihaa.

5.3 Licence Granted to Wihaa

By uploading or submitting User Content, you grant Wihaa a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to: host; store; reproduce; process; modify; adapt; organize; categorize; display; transmit; analyse; and otherwise use such User Content, to the extent necessary to: provide and operate the Platform; create and maintain Digital Closets; generate metadata and classifications; provide recommendations and analytics; improve services and user experience; develop and enhance AI Features; ensure security and fraud prevention; and comply with legal obligations. This licence continues for as long as reasonably necessary to provide the Services and fulfil legal, operational, and regulatory requirements.

5.4 Wardrobe Data

The Platform may generate, organize, or store Wardrobe Data based on: User Content; user activities; preferences and selections; recommendations; metadata; purchase information; outfit history; and other information associated with the User’s use of the Platform. Wardrobe Data forms part of the Services offered by the Platform and may be processed in accordance with these Terms and the Privacy Policy.

5.5 Image Processing and Computer Vision

By uploading photographs or images to the Platform, you expressly authorize Wihaa to: analyse such images; identify clothing, accessories, beauty products, and related items; categorize and classify products; generate tags and metadata; create recommendations and insights; organize Digital Closets; improve search functionality; improve and develop AI Features; and otherwise process such images for the operation and improvement of the Platform.

5.6 Artificial Intelligence and Automated Processing

The Platform may use artificial intelligence, machine learning, computer vision, automation technologies, and recommendation engines to process User Content and Wardrobe Data. You acknowledge and agree that: AI-generated results may not always be accurate, complete, or error-free; classifications and recommendations may occasionally be incorrect; automated processes may misidentify products or attributes; and the Platform does not guarantee the accuracy of any AI-generated output.

5.7 User Representations and Warranties

You represent and warrant that: you own or control the necessary rights to your User Content; your User Content does not infringe any third-party rights; you have obtained all necessary permissions and consents; your User Content does not violate applicable laws; and your User Content does not contain unlawful, harmful, fraudulent, or misleading material.

5.8 Third-Party Content and Uploaded Images

You acknowledge and agree that: you are responsible for ensuring that you have the necessary rights, permissions, consents, or lawful basis to upload any image, photograph, or other User Content to the Platform; you shall not upload content that infringes the intellectual property, privacy, publicity, or other rights of any third party; Wihaa does not verify ownership of uploaded content and relies upon the representations made by users; users may upload images or content solely for personal organization, inspiration, reference, or wardrobe management purposes. Uploading such content to a private Digital Closet does not transfer ownership of such content to the user or to Wihaa and does not imply that the user owns any intellectual property rights in the uploaded material.

Users remain solely responsible for ensuring that their upload, storage, and use of such content on the Platform complies with applicable intellectual property laws and the rights of third parties. Wihaa shall not be responsible for determining whether a user possesses the rights necessary to upload particular content. If Wihaa reasonably believes that any User Content may infringe the rights of a third party, violate applicable law, or expose the Platform to legal risk, Wihaa may remove, restrict, disable, or delete such content without prior notice. You agree to indemnify and hold harmless Wihaa, its affiliates, owner, directors, employees, and representatives from any claims, losses, liabilities, damages, costs, or expenses arising from your upload or use of content that you did not have the right or authority to use.

5.9 Prohibited Content

You shall not upload or share Content that: infringes intellectual property rights; violates privacy or publicity rights; contains malware or malicious code; is unlawful, defamatory, obscene, fraudulent, or deceptive; impersonates another person or entity; or otherwise violates these Terms or applicable law.

5.10 User Deletion and Removal Rights

Subject to applicable law and operational requirements, users may modify or delete certain User Content through the Platform. Wihaa may retain copies of User Content or related information: for backup purposes; to comply with legal obligations; for dispute resolution; for security purposes; or as otherwise permitted by law.

5.11 Aggregated and Anonymized Data

Notwithstanding anything to the contrary, Wihaa may collect, generate, and use aggregated, anonymized, de-identified, statistical, or analytical information derived from User Content, Wardrobe Data, Metadata, and Platform usage for: analytics; research; service improvement; development of AI Features; business intelligence; benchmarking; and other lawful business purposes, provided that such information does not reasonably identify an individual user.

5.12 Fashion Intelligence and Derived Data

Users acknowledge that: classifications; categorizations; metadata structures; recommendation logic; fashion intelligence; analytical outputs; algorithms; proprietary methodologies; and derived data created by Wihaa, constitute the proprietary intellectual property of Palak Dadhania and/or Wihaa and do not form part of the User’s ownership rights solely because they are generated using User Content or Wardrobe Data.

5.13 Monitoring and Moderation

Wihaa reserves the right, but not the obligation, to review, monitor, remove, restrict, or disable access to any User Content that: violates these Terms; may expose the Platform to legal or security risks; or is otherwise considered inappropriate or harmful.

6. AI Features & Recommendations Disclaimer

6.1 Use of Artificial Intelligence

The Platform may use artificial intelligence, machine learning, computer vision, automation technologies, recommendation engines, predictive analytics, and similar technologies (“AI Features”) to provide certain functionalities and services. AI Features may be used to: identify and classify products; generate metadata, tags, and attributes; organize Digital Closets and Wardrobe Data; provide recommendations and insights; suggest outfits, styles, products, and combinations; generate analytics and reports; improve search and discovery features; personalize the user experience; and support other functionalities introduced by Wihaa from time to time.

6.2 Informational Nature of Recommendations

Any recommendations, insights, classifications, suggestions, analyses, scores, rankings, outfit combinations, or other outputs generated by AI Features (“Recommendations”) are provided solely for informational and convenience purposes. Recommendations do not constitute: professional styling advice; professional fashion consultation; financial, legal, medical, or other professional advice; guarantees of suitability, quality, availability, or performance; or representations that a particular recommendation is correct, optimal, or appropriate.

6.3 No Guarantee of Accuracy

You acknowledge and agree that AI Features: may produce inaccurate, incomplete, outdated, or inconsistent results; may misclassify clothing, accessories, beauty products, or other items; may generate incorrect metadata, tags, or recommendations; may fail to recognize certain products, styles, colors, materials, or attributes; may provide suggestions that do not align with your preferences or expectations; and may contain errors, biases, limitations, or technical defects. Wihaa does not guarantee the accuracy, completeness, reliability, suitability, or usefulness of any Recommendation or AI-generated output.

6.4 User Responsibility and Independent Judgment

Users remain solely responsible for: evaluating any Recommendation; exercising their own judgment and discretion; verifying information before relying upon it; and making their own decisions regarding purchases, styling, wardrobe management, or other actions. You agree not to rely exclusively on AI-generated outputs when making decisions.

6.5 Learning and Improvement of AI Features

Wihaa may use User Content, Wardrobe Data, Metadata, aggregated information, anonymized information, and Platform usage information to: train; improve; test; validate; develop; and enhance its AI Features and related technologies, subject to applicable law and the Privacy Policy. Where required by applicable law, Wihaa will obtain additional consent before using personal information for specific AI training purposes.

6.6 Experimental and Evolving Technology

AI Features are evolving technologies and may be: experimental; under development; modified; suspended; replaced; or discontinued at any time and without prior notice. Wihaa makes no representation that any AI Feature will remain available or continue to function in any particular manner.

6.7 Third-Party Artificial Intelligence Services

Certain AI Features may be provided by or rely upon third-party technologies, models, APIs, or service providers. Wihaa does not control and is not responsible for: the availability; accuracy; performance; or outputs of third-party AI services. The use of such services may be subject to additional terms or policies of the applicable third parties.

6.8 No Warranty Regarding Recommendations

To the fullest extent permitted by law, all Recommendations and AI-generated outputs are provided on an: “as is”; “as available”; and “with all faults” basis without warranties of any kind, whether express, implied, statutory, or otherwise.

6.9 Limitation of Liability for AI Features

To the fullest extent permitted by applicable law, Wihaa and its affiliates shall not be liable for any: loss; damage; cost; claim; decision; purchase; styling choice; missed opportunity; or other consequence arising from or related to your use of, reliance upon, or inability to use any AI Feature or Recommendation.

7. Intellectual Property Rights

7.1 Ownership of the Platform

The Platform and all related rights, title, and interests, including all Intellectual Property Rights therein, are and shall remain the exclusive property of Wihaa and/or its owner and licensors. Nothing in these Terms transfers any ownership rights in the Platform to any User. 7.2 Platform Intellectual Property

The Platform and its contents may include: software and source code; databases and database structures; user interfaces and designs; text, graphics, images, videos, and content; trademarks, trade names, logos, and branding; domain names; documentation; product features and functionalities; business methods and processes; algorithms and recommendation engines; metadata structures; taxonomies and classification systems; proprietary methodologies; and other intellectual property and proprietary materials. All such rights are owned by or licensed to Wihaa and are protected under applicable intellectual property laws.

7.3 Fashion Intelligence Framework and Proprietary Methodologies

The following constitute proprietary intellectual property of Palak Dadhania and/or Wihaa: Fashion Intelligence Framework; classification systems; naming conventions; category structures; identifiers; metadata frameworks; organization methodologies; recommendation logic; wardrobe intelligence systems; analytical frameworks; business methodologies; and all modifications, enhancements, derivatives, and improvements thereto. No User acquires ownership rights in any of the foregoing merely by using the Platform or contributing User Content.

7.4 Artificial Intelligence and Derived Intelligence

Any: algorithms; AI models; machine learning outputs; metadata; analytical outputs; derived insights; recommendation methodologies; aggregated intelligence; classifications; and system-generated information created, generated, developed, or derived by Wihaa through the operation of the Platform shall remain the exclusive property of Palak Dadhania and/or Wihaa.

7.5 User Content Ownership

Except as expressly provided in these Terms, Users retain ownership of their User Content and any intellectual property rights that they may hold in such User Content. Nothing in these Terms transfers ownership of User Content to Wihaa.

7.6 Licence Granted by Users

Users grant Wihaa the licence described in Section 5 for the limited purposes of operating, maintaining, improving, securing, and developing the Platform and its services.

7.7 Feedback and Suggestions

If you provide any: ideas; suggestions; recommendations; feature requests; comments; or other feedback, you grant Wihaa a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, modify, commercialize, reproduce, adapt, and exploit such Feedback without compensation, acknowledgement, or obligation to you.

7.8 Limited Licence to Users

Subject to compliance with these Terms, Wihaa grants Users a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely for its intended purposes. No other rights are granted.

7.9 Restrictions

Except as expressly permitted by law or by Wihaa in writing, Users shall not: copy; reproduce; distribute; modify; adapt; create derivative works from; reverse engineer; decompile; disassemble; scrape; extract; republish; sell; license; exploit; or otherwise use any portion of the Platform or its intellectual property.

7.10 Database and Data Extraction Restrictions

7.12 Third-Party Intellectual Property

The Platform may contain content, trademarks, products, images, or materials belonging to third parties. All rights in such materials remain with their respective owners. Nothing in these Terms grants any ownership or licence in third-party intellectual property except as expressly permitted.

7.13 Infringement Claims

If any person believes that content on the Platform infringes their intellectual property rights, they may contact Wihaa with reasonable details of the alleged infringement. Wihaa reserves the right to investigate, remove, restrict, disable, or take any other action deemed appropriate.

7.14 Reservation of Rights

All rights not expressly granted under these Terms are reserved by Wihaa, Palak Dadhania and their licensors.

7.15 Reservation of Future Intellectual Property Rights

The Platform may introduce new technologies, products, services, features, methodologies, algorithms, databases, commercial offerings, and forms of intellectual property from time to time. All Intellectual Property Rights in such present and future developments shall vest exclusively in Palak Dadhania, Wihaa, or their licensors unless expressly agreed otherwise in writing.

8. Acceptable Use & Prohibited Activities

8.1 Acceptable Use

Users may access and use the Platform solely: for lawful purposes; in accordance with these Terms; in a manner that does not interfere with the rights of others; in a manner that does not disrupt the operation, security, or integrity of the Platform; and for the intended purposes of the Services offered by Wihaa.

Users agree to comply with all applicable: laws; regulations; court orders; governmental requirements; and third-party rights when accessing or using the Platform.

8.3 Prohibited Activities

Users shall not:

  • Illegal and Fraudulent Activities: engage in unlawful, fraudulent, deceptive, or misleading conduct; provide false information; impersonate any person or entity; create fake accounts; misrepresent identity or authority.
  • Intellectual Property Violations: upload or share content that infringes third-party rights; violate copyrights, trademarks, patents, or other intellectual property rights; remove copyright notices or proprietary markings.

  • Competitive Use: use the Platform to develop competing products or services; reproduce the Fashion Intelligence Framework or recommendation methodologies; reverse engineer or copy Platform intelligence.
  • Misuse of AI Features: use AI Features for unlawful purposes; attempt to manipulate AI outputs; input malicious data intended to damage or disrupt AI systems; use Platform outputs to train competing AI models.
  • Community Misconduct: post spam or unsolicited communications; manipulate ratings, reviews, or engagement metrics; create misleading content or fake interactions; engage in coordinated inauthentic behaviour.
  • Commercial Misuse: conduct unauthorized advertising or promotions; engage in unauthorized solicitation; misuse referral or rewards programs; exploit the Platform for unauthorized commercial purposes.
  • Counterfeit and Misleading Commercial Activities:sell or promote counterfeit products; falsely represent affiliation with any brand or designer; use another person’s trademark without authorization; misrepresent the authenticity, origin, or ownership of products.
  • Unauthorized Security Testing: perform penetration testing; conduct vulnerability scanning; attempt security research; exploit technical weaknesses without prior written authorization from Wihaa.
  • AI Manipulation and Adversarial Activities: intentionally manipulate AI systems; submit malicious inputs intended to corrupt AI models; attempt prompt injection or model poisoning attacks; interfere with the proper functioning of AI Features.
  • Circumvention of Geographic Restrictions: circumvent territorial restrictions; falsify location information; access features that are prohibited in their jurisdiction.

8.4 Prohibited Content

Users shall not upload, post, or transmit content that: infringes third-party rights; violates privacy rights; contains malware; is fraudulent or misleading; promotes illegal activities; contains harmful, abusive, or hateful material; violates these Terms or applicable law.

8.5 User Responsibility

Users are solely responsible for: their conduct on the Platform; activities conducted through their Account; information uploaded or shared by them; and ensuring compliance with these Terms and applicable law.

8.6 Reporting Violations

Users may report: unlawful content; intellectual property infringement; security concerns; abusive behavior; or violations of these Terms through the reporting mechanisms provided by the Platform.

8.7 Investigations and Enforcement

Wihaa reserves the right, but not the obligation, to: investigate suspected violations; remove or restrict content; suspend or terminate accounts; report unlawful activities to authorities; cooperate with law enforcement agencies; and take any other action deemed appropriate.

Wihaa reserves the right to remove such content and take appropriate enforcement action.

8.12 Account Trading and Unauthorized Transfers

Users shall not: sell; purchase; transfer; lease; or otherwise commercially exploit Accounts or account credentials without the prior written authorization of Wihaa.

8.13 Data Mining and Commercial Extraction

Users shall not: collect or extract information from the Platform for commercial intelligence; build competing databases; compile user information; reproduce market analytics or Platform intelligence; use Platform data for unauthorized business purposes.

9. Subscription & Payment Terms

9.1 Paid and Free Services

9.2 Subscription Plans

12.14 Maximum Disclaimer Permitted by Law

To the fullest extent permitted by applicable law, all warranties not expressly set forth in these Terms are hereby disclaimed.

12.15 Occasion and Recommendation Disclaimer

Recommendations regarding: occasions; dress codes; outfit suitability; fashion preferences; or styling decisions are subjective in nature and may not reflect personal preferences, cultural expectations, professional requirements, or social norms.

12.16 Translation Disclaimer

The Platform may provide: translations; localized content; automatically generated text; or multilingual functionality. Translations may contain inaccuracies, omissions, or differences in meaning. In the event of any inconsistency, the English-language version of the applicable content or document shall prevail unless otherwise required by applicable law.

12.17 External Artificial Intelligence Provider Disclaimer

Certain Platform features may utilize third-party: artificial intelligence models; machine learning technologies; image-generation services; language models; and computer vision providers. Wihaa does not control and is not responsible for: the outputs; accuracy; availability; functionality; or limitations of such third-party technologies.

12.18 Color and Display Accuracy Disclaimer

Actual colors, textures, patterns, and appearances of products may vary due to: screen settings; device capabilities; lighting conditions; image quality; or technological limitations. Wihaa does not guarantee that digital representations will exactly match real-world appearance.

12.19 No Guarantee of Personal Outcomes

Wihaa does not guarantee that use of the Platform will result in: improved style; improved appearance; increased confidence; social acceptance; commercial success; fashion expertise; or any specific personal outcome. Individual experiences and results may vary.

12.20 Health, Well-Being and Body Image Disclaimer

The Platform may provide: body measurements; size recommendations; fit suggestions; body profiles; styling recommendations; appearance visualizations; and other personalized fashion experiences. Such features are intended solely for: informational purposes; convenience; personalization; and enhancing user experience. The Platform is not intended to: diagnose; treat; cure; prevent; assess; or provide advice regarding any: medical condition; physical condition; nutritional condition; eating disorder; body image concern; mental health condition; or psychological condition.

Wihaa makes no representations or warranties regarding: physical appearance; body composition; weight; health outcomes; confidence levels; or emotional well-being. Users should not rely upon the Platform for: medical decisions; healthcare decisions; nutritional advice; fitness advice; mental health advice; or professional counselling. If a user has concerns regarding: health; body image; eating disorders; mental well-being; or physical conditions, the user should seek advice from appropriately qualified professionals. Wihaa disclaims all liability arising from: reliance on body-related recommendations; use of measurements; appearance simulations; size recommendations; or any perceived or actual effects on a user’s physical or emotional well-being.

12.21 Generative Content and AI Output Disclaimer

The Platform may generate: outfit suggestions; styling recommendations; images; visualizations; fashion concepts; descriptions; captions; digital representations; and other AI-generated outputs. Such outputs: are generated algorithmically; may contain inaccuracies; may be incomplete; may not be unique; may resemble outputs generated for other users; and may incorporate patterns learned from large datasets and machine learning systems. Wihaa does not represent or warrant that any AI-generated output is: original; exclusive; unique; free from similarities to other outputs; suitable for any particular purpose; or capable of intellectual property protection. Except where expressly stated otherwise, users receive a limited, non-exclusive, revocable right to use AI-generated outputs made available through the Platform in accordance with these Terms. Wihaa reserves the right to: modify; regenerate; remove; discontinue; or restrict access to any AI-generated content or functionality at any time. Users are solely responsible for: reviewing; verifying; evaluating; and determining the suitability of any AI-generated output before relying upon or using such content. To the fullest extent permitted by law, Wihaa disclaims all liability arising from: reliance on AI-generated outputs; use of generated content; similarities between outputs; alleged inaccuracies; alleged originality claims; or disputes relating to the ownership or use of AI-generated content.

13. Limitation of Liability

13.1 Use at Your Own Risk

Your access to and use of the Platform, Services, Features, Content, and any information made available through the Platform is entirely at your own risk.

13.2 Exclusion of Certain Damages

To the fullest extent permitted by applicable law, Wihaa and its: affiliates; subsidiaries; shareholders; directors; officers; employees; consultants; contractors; licensors; partners; and service providers shall not be liable for any: indirect damages; incidental damages; special damages; exemplary damages; punitive damages; consequential damages; loss of profits; loss of revenues; loss of business opportunities; loss of goodwill; business interruption; loss of data; loss of reputation; or other intangible losses, whether based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if advised of the possibility of such damages.

13.3 Platform Interruptions and Technical Issues

Wihaa shall not be liable for losses arising from: service interruptions; maintenance; downtime; software defects; system failures; bugs; network issues; hardware failures; or technical errors.

13.4 Artificial Intelligence and Automated Features

Wihaa shall not be liable for any losses arising from: inaccurate AI outputs; garment misclassification; incorrect recommendations; image recognition failures; or other automated decisions or outputs.

13.5 Third-Party Services and Integrations

Wihaa shall not be liable for: third-party websites; marketplaces; payment providers; logistics partners; external applications; artificial intelligence providers; social media platforms; or other third-party services.

13.6 Security Incidents and Unauthorized Access

To the fullest extent permitted by law, Wihaa shall not be liable for losses arising from: hacking; malware; cyberattacks; phishing; unauthorized access; data breaches; identity theft; or security incidents, except to the extent liability cannot be excluded under applicable law.

13.7 Reliance on Information

Users are solely responsible for evaluating and verifying: recommendations; analytics; measurements; product information; AI-generated outputs; forecasts; and other information provided through the Platform.

13.8 Force Majeure Events

Wihaa shall not be liable for any delay, interruption, failure, or inability to perform arising from events beyond its reasonable control, including: natural disasters; pandemics; governmental actions; labour disputes; internet failures; power failures; cyber incidents; telecommunications failures; or acts of third parties.

13.9 Limitation of Aggregate Liability

To the fullest extent permitted by applicable law, the aggregate liability of Wihaa arising out of or relating to the Platform, Services, or these Terms shall not exceed the greater of: (a) the amount paid by the user to Wihaa during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) INR 5,000 (Indian Rupees Five Thousand).

13.10 Time Limitation for Claims

To the fullest extent permitted by applicable law, any claim arising out of or relating to the Platform or these Terms must be brought within one (1) year after the cause of action arises, failing which such claim shall be permanently barred.

13.11 Basis of the Bargain

The users acknowledge and agree that: the disclaimers; exclusions; and limitations of liability set forth in these Terms form an essential basis of the agreement between the parties and that Wihaa would not be able to provide the Platform on the same terms without such limitations.

13.12 Maximum Limitation Permitted by Law

Certain jurisdictions may not permit the exclusion or limitation of certain liabilities. In such jurisdictions, Wihaa’s liability shall be limited to the maximum extent permitted by applicable law.

13.13 APIs and Developer Ecosystem

Wihaa shall not be liable for: third-party applications; integrations; developer products; API implementations; external software; coding errors; security vulnerabilities; or failures caused by third-party developers. Developers and users utilize APIs and integrations entirely at their own risk.

13.14 Data Import, Export and Synchronization

Wihaa shall not be liable for: incomplete imports; inaccurate imports; duplicate information; synchronization failures; data corruption; import or export errors; loss of imported information; or failures caused by third-party systems. Users are responsible for reviewing and maintaining backups of important information.

13.15 Beta and Experimental Features

Certain features may be: experimental; beta; testing versions; early-access features; or preview services. Such features may: be incomplete; contain defects; malfunction; be unavailable; change without notice; or be discontinued at any time. To the fullest extent permitted by law, Wihaa shall not be liable for any: losses; damages; data loss; service interruptions; or consequences arising from the use of beta or experimental features.

13.16 Cross-Border Legal and Regulatory Compliance

Users are solely responsible for ensuring that their use of the Platform complies with: local laws; regulations; import restrictions; export controls; privacy laws; consumer protection laws; and other legal requirements applicable in their jurisdiction. Wihaa shall not be liable for any: regulatory issues; legal restrictions; governmental actions; tax obligations; or compliance failures arising from a user’s access to or use of the Platform in any jurisdiction.

14. Indemnification

14.1 User Indemnification Obligation

You agree to defend, indemnify, and hold harmless Wihaa and its: affiliates; subsidiaries; shareholders; directors; officers; employees; consultants; contractors; licensors; partners; and service providers from and against any and all: claims; demands; actions; proceedings; investigations; liabilities; damages; judgments; settlements; penalties; fines; losses; costs; and expenses, including reasonable legal fees and expenses, arising out of or relating to: your use of the Platform; your misuse of the Platform; your violation of these Terms; your violation of applicable laws; your infringement of any third-party rights; or your acts or omissions.

14.2 User Content and Uploaded Material

You agree to indemnify and hold harmless Wihaa from any claims arising from: photographs; wardrobe images; videos; comments; reviews; messages; creator content; public wardrobe content; or other materials uploaded, published, or shared by you.

14.3 Intellectual Property Infringement

You shall indemnify Wihaa against any claims arising from allegations that: your content infringes copyrights; your content infringes trademarks; your content infringes patents; your content infringes design rights; your content violates publicity rights; your content violates privacy rights; or your content otherwise infringes third-party intellectual property rights.

14.4 Images and Rights of Ownership

You represent and warrant that you possess all necessary: ownership rights; permissions; licenses; consents; and authorizations for all images, information, and materials uploaded to the Platform. You shall indemnify Wihaa against claims arising from the upload or use of materials for which you do not possess adequate rights or permissions.

14.5 Third-Party Integrations and Imported Data

You shall indemnify Wihaa for claims arising from: connected accounts; imported information; third-party applications; external integrations; synchronization activities; or data obtained from external sources.

14.6 Violation of Applicable Laws

You shall indemnify Wihaa against claims arising from your violation of: privacy laws; consumer protection laws; intellectual property laws; advertising laws; tax laws; import or export regulations; sanctions regulations; or any other applicable laws.

14.7 Government Investigations and Regulatory Proceedings

You shall indemnify Wihaa for: governmental inquiries; investigations; regulatory proceedings; penalties; fines; assessments; and enforcement actions arising from your acts, omissions, content, or activities.

14.8 Continuing Obligation

Your indemnification obligations shall survive: suspension of your account; termination of your account; discontinuation of the Services; and expiration or termination of these Terms.

14.9 Right to Assume Defence

Wihaa reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You agree to cooperate fully with Wihaa in the defence of such matters.

14.10 No Limitation by Liability Caps

Your indemnification obligations under this Section are independent of, and are not limited by, any limitation of liability provisions contained in these Terms.

14.11 Artificial Intelligence and Generated Content

You shall indemnify and hold harmless Wihaa from and against any claims, disputes, liabilities, losses, damages, costs, and expenses arising from: your use of AI-generated content; your reliance on AI outputs; allegations of infringement, misrepresentation, defamation, or unlawful use relating to AI-generated outputs; or your use of AI-generated content in violation of applicable laws or third-party rights.

14.12 APIs, Developers and Third-Party Applications

If you: develop applications; use APIs; provide integrations; connect third-party software; or access developer tools, you shall indemnify and hold harmless Wihaa from and against any claims arising from: security incidents; unauthorized access; software defects; data loss; infringement claims; misuse of APIs; failures of third-party applications; or violations of applicable laws.

14.13 Analytics, Research and Market Intelligence Products

You shall indemnify and hold harmless Wihaa against claims arising from: information supplied by you; inaccurate data submitted by you; unauthorized use of reports; redistribution of analytics products; misuse of insights; or reliance placed by third parties on information provided by you.

14.14 Cross-Border Activities and Regulatory Compliance

You shall indemnify and hold harmless Wihaa from and against any: taxes; duties; governmental claims; regulatory proceedings; penalties; fines; sanctions; compliance failures; or legal proceedings arising from your use of the Platform in any jurisdiction or your failure to comply with applicable laws.

14.15 Taxes and Payment Obligations

You shall be solely responsible for: taxes; duties; levies; withholding obligations; reporting requirements; and other governmental charges arising from your use of the Platform, commercial activities, creator earnings, marketplace activities, or transactions. You shall indemnify and hold harmless Wihaa from and against any claims, assessments, penalties, or liabilities arising from your failure to satisfy such obligations.

14.16 Payment Fraud and Chargeback Indemnity

You shall indemnify and hold harmless Wihaa from and against any: chargebacks; payment reversals; fraudulent transactions; unauthorized payment disputes; payment processor claims; collection costs; penalties; fines; or expenses arising from: your acts or omissions; fraudulent activities; misuse of payment methods; unauthorized transactions; or violations of payment provider requirements. Wihaa reserves the right to recover all amounts, losses, costs, and expenses arising from such matters.

14.17 Data Privacy, Consent and Third-Party Information

You shall indemnify and hold harmless Wihaa from and against any claims, complaints, investigations, penalties, or proceedings arising from: uploading information relating to another person; uploading photographs of another person; sharing third-party data; importing external information; processing information without authorization; violations of privacy rights; violations of publicity rights; failure to obtain consent; or violations of applicable data protection laws. You represent and warrant that you possess all necessary rights, permissions, and consents relating to information that you upload, submit, import, or otherwise make available through the Platform.

14.18 Export Controls, Sanctions and Restricted Jurisdictions

You shall indemnify and hold harmless Wihaa from and against any claims, liabilities, penalties, fines, investigations, or proceedings arising from: violations of export control laws; sanctions regulations; trade restrictions; prohibited transactions; restricted jurisdictions; or unlawful cross-border activities. You represent and warrant that your use of the Platform complies with all applicable export control and sanctions laws.

14.19 Open-Source Software and Developer Contributions

To the extent Wihaa provides: APIs; software development kits; sample code; developer tools; open-source components; or community resources, such materials may be subject to separate licenses and may be provided on an “AS IS” basis. To the fullest extent permitted by applicable law, Wihaa disclaims all indemnification obligations relating to: third-party open-source software; community contributions; modifications made by users or developers; or software not developed or controlled by Wihaa. Users and developers assume all responsibility for reviewing and complying with applicable open-source licenses and obligations.

15. Suspension, Termination & Account Closure

15.1 User Right to Terminate

Users may discontinue their use of the Platform and may request closure of their accounts in accordance with the procedures made available by Wihaa. Account closure does not automatically result in deletion of all information, and certain information may be retained in accordance with: these Terms; the Privacy Policy; applicable law; and legitimate business requirements.

15.2 Right to Suspend or Terminate

Wihaa reserves the right, at its sole discretion and with or without prior notice, to: suspend accounts; restrict access; limit functionality; remove content; disable features; terminate accounts; or discontinue Services, where Wihaa reasonably believes that such action is necessary or appropriate.

15.3 Grounds for Suspension or Termination

Without limitation, Wihaa may suspend or terminate an account for: violation of these Terms; violation of applicable laws; fraudulent activities; unauthorized access; security risks; abusive conduct; harassment; infringement of third-party rights; misleading information; spam activities; misuse of AI Features; prohibited commercial activities; payment failures; chargebacks; regulatory concerns; or any activity that may expose Wihaa or other users to harm or liability.

15.4 Content Removal

Wihaa may remove, disable access to, restrict, or preserve any: content; images; wardrobe information; comments; messages; public profiles; creator content; or other materials where Wihaa reasonably believes that such action is necessary for: compliance; safety; security; enforcement of these Terms; or protection of users or third parties.

15.5 Immediate Suspension

Wihaa may immediately suspend or restrict access without prior notice in cases involving: fraud; security incidents; suspected unlawful conduct; intellectual property infringement; risk to other users; regulatory requirements; or emergencies.

15.6 Investigation Rights

Wihaa may: investigate suspected violations; request additional information; verify identities; cooperate with authorities; preserve evidence; and take any action reasonably necessary to enforce these Terms.

15.7 User-Initiated Account Closure

Users may request: account closure; deactivation; or deletion of certain information subject to: verification procedures; legal requirements; payment obligations; unresolved disputes; and technical limitations.

15.8 Subscription and Payment Obligations

Suspension, termination, or account closure shall not: relieve users of payment obligations; automatically result in refunds; extinguish outstanding liabilities; or affect rights accrued prior to termination. Refunds, if any, shall be governed by the applicable refund policy or specific subscription terms.

15.9 Dormant and Inactive Accounts

Wihaa may establish policies relating to: inactive accounts; dormant accounts; abandoned profiles; and unused information. Subject to applicable law, Wihaa may: archive; anonymize; suspend; delete; or otherwise manage inactive accounts after reasonable periods of inactivity.

15.10 Effects of Termination

Upon suspension or termination: access to the Platform may cease; features may become unavailable; content may become inaccessible; subscriptions may end; and certain information may be retained in accordance with applicable law and these Terms.

15.11 Preservation of Information

Wihaa may retain information after suspension or termination for purposes including: legal compliance; dispute resolution; fraud prevention; security; backups and archives; enforcement of agreements; and legitimate business purposes.

15.12 No Liability for Suspension or Termination

To the fullest extent permitted by applicable law, Wihaa shall not be liable for: suspension; restriction of access; removal of content; account termination; loss of information; loss of access; or resulting consequences arising from actions taken in accordance with these Terms.

15.13 Survival

The provisions of these Terms that by their nature should survive suspension, termination, or expiration shall continue in full force and effect, including provisions relating to: intellectual property; indemnification; limitations of liability; dispute resolution; payment obligations; and retained rights and remedies.

15.14 APIs, Developers and Integrations

Wihaa may suspend, limit, revoke, or discontinue access to: APIs; developer tools; software development kits; integrations; or technical resources at any time and for any reason, including: security concerns; misuse; excessive usage; legal requirements; policy violations; or technical or operational considerations.

15.15 Usernames, Handles and Account Identifiers

Wihaa reserves the right to: reclaim; reassign; modify; suspend; or remove usernames, handles, profile names, vanity URLs, or other identifiers where reasonably necessary, including in cases involving: inactivity; trademark disputes; impersonation; legal requirements; abuse; or administrative purposes. Users do not acquire ownership rights in usernames or account identifiers.

15.16 Data Export Following Termination

Where functionality is available, Wihaa may permit users to export certain information following account suspension or closure. Wihaa reserves the right to: limit exports; impose time restrictions; require identity verification; deny access where legally required; or refuse exports that may adversely affect the rights of others or the security of the Platform. Unless otherwise required by law, Wihaa shall have no obligation to retain information indefinitely after termination.

15.17 Legal Holds and Preservation of Information

Notwithstanding any account closure, deletion request, or termination, Wihaa may preserve information where reasonably necessary to: comply with applicable laws; respond to legal process; investigate violations; resolve disputes; prevent fraud; protect rights and safety; or satisfy regulatory requirements.

15.18 Sanctions, Restricted Jurisdictions and Legal Restrictions

Wihaa may suspend, restrict, or terminate access to the Platform where: applicable laws prohibit access; sanctions laws apply; governmental restrictions exist; export controls require action; or continued access may expose Wihaa to legal or regulatory risk. Wihaa may also restrict specific features, products, or services in certain jurisdictions based on legal, commercial, or operational considerations.

15.19 Feature Retirement and Service Changes

Wihaa reserves the right, at any time and in its sole discretion, to: modify; replace; suspend; discontinue; or retire any: feature; functionality; product; subscription offering; integration; artificial intelligence capability; social feature; or service. The discontinuation of a particular feature or service shall not automatically result in: termination of user accounts; refunds; compensation; or continued availability of historical functionality. Wihaa may provide notice of material changes where reasonably practicable.

15.20 Business Transfer, Merger and Corporate Restructuring

In connection with: a merger; acquisition; investment transaction; corporate restructuring; sale of assets; insolvency proceeding; or other business transaction, Wihaa may transfer, assign, or otherwise deal with: accounts; user relationships; contractual rights; information; and Platform assets, subject to applicable law and the Privacy Policy. The continued use of the Platform following such transaction shall constitute acceptance of the successor entity’s rights and obligations under these Terms.

15.21 Emergency Measures and Mass Suspension Events

Wihaa may take immediate protective actions, including: suspension of accounts; restriction of functionality; temporary service interruptions; disabling integrations; blocking transactions; or preservation of information, where reasonably necessary to address: cyber incidents; fraud; security threats; system failures; legal requirements; public safety concerns; or other emergency situations. Wihaa shall not be liable for actions reasonably taken to protect the Platform, its users, or third parties.

15.22 Appeals and Reinstatement

Wihaa may, but is under no obligation to, provide a process through which users may: request review of a suspension; appeal certain enforcement actions; or seek reinstatement of an account. Submission of an appeal does not guarantee: reinstatement; restoration of content; reversal of decisions; or compensation. All decisions of Wihaa regarding reinstatement shall be final unless otherwise required by applicable law.

15.23 No Circumvention of Enforcement Actions

Users whose accounts have been: suspended; restricted; terminated; or otherwise limited may not circumvent such actions by: creating new accounts; using another person’s account; providing misleading information; using automated methods; or otherwise attempting to regain access without authorization. Wihaa reserves the right to: remove such accounts; block access; restrict services; and take additional enforcement actions as reasonably necessary.

16. Governing Law, Dispute Resolution & Jurisdiction

16.1 Governing Law

These Terms, the Platform, and all matters arising out of or relating to: the Platform; the Services; the use of the Platform; any transactions; any disputes; or these Terms, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

16.2 Informal Resolution of Disputes

Before initiating any formal legal proceedings, the parties agree to make reasonable efforts to resolve any dispute informally. A party intending to raise a dispute shall provide written notice containing: the nature of the dispute; relevant facts; supporting information; and the proposed resolution. The parties shall attempt in good faith to resolve the dispute within thirty (30) days from the date of receipt of such notice. Nothing in this Section shall prevent either party from seeking urgent interim or injunctive relief where immediate action is necessary.

16.3 Binding Arbitration

If a dispute is not resolved within the informal resolution period, the dispute shall be finally resolved by arbitration in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by Wihaa, unless applicable law requires otherwise.

16.4 Seat and Venue of Arbitration

The legal seat and venue of arbitration shall be: Ahmedabad, Gujarat, India. The arbitration proceedings may be conducted: physically; electronically; through video conferencing; or through any other lawful remote means.

16.5 Language

All dispute resolution proceedings, including arbitration proceedings, shall be conducted in the English language unless otherwise agreed by the parties or required by applicable law.

16.6 Individual Proceedings

To the fullest extent permitted by applicable law, disputes shall be brought solely on an individual basis and not as part of: class actions; representative actions; consolidated proceedings; or collective proceedings. Nothing in this provision shall limit any rights that cannot lawfully be waived under applicable law.

16.7 Jurisdiction of Courts

Subject to the arbitration provisions above, the courts located at Ahmedabad, Gujarat, India shall have exclusive jurisdiction over: applications for interim relief; injunctive relief; enforcement of arbitral awards; matters not capable of arbitration; and other proceedings permitted under applicable law.

16.8 Injunctive and Equitable Relief

Notwithstanding any other provision of these Terms, Wihaa may seek immediate: injunctive relief; equitable relief; temporary restraining orders; or other protective remedies before any court of competent jurisdiction in relation to: intellectual property infringement; misuse of confidential information; unauthorized access; fraud; data misuse; cybersecurity incidents; or violations that may cause irreparable harm.

16.9 Electronic Communications and Evidence

The parties agree that: electronic communications; emails; electronic records; logs; system-generated records; digital signatures; and electronic evidence may be used and relied upon in connection with dispute resolution proceedings to the fullest extent permitted by applicable law.

16.10 Time Limitation for Claims

To the fullest extent permitted by applicable law, any claim arising out of or relating to the Platform or these Terms must be initiated within one (1) year after the cause of action arises, failing which such claim shall be permanently barred.

16.11 Consumer Rights Savings Clause

Nothing in these Terms shall limit or exclude any rights or remedies that cannot be lawfully excluded or waived under applicable consumer protection laws. Where mandatory consumer laws of a particular jurisdiction apply, such rights shall prevail to the extent required by law.

16.12 Continued Performance

Unless otherwise prohibited by law or impossible due to the nature of the dispute, the parties shall continue to perform their respective obligations under these Terms during the pendency of any dispute resolution proceedings.

16.13 Survival

This Section shall survive: suspension of accounts; termination of accounts; expiration of subscriptions; discontinuation of Services; and termination of these Terms.

16.14 Small Claims, Consumer Forums and Statutory Rights

Nothing in these Terms shall prevent a user from: approaching a consumer forum; filing a complaint before a statutory authority; initiating proceedings before a small claims court; or exercising any other rights or remedies where such rights cannot lawfully be waived or restricted under applicable law. To the extent any provision of this Section conflicts with mandatory provisions of applicable consumer protection laws, such mandatory provisions shall prevail solely to the extent of the conflict.

16.15 Government Authorities and Regulatory Proceedings

Nothing in these Terms shall prevent: governmental authorities; regulatory bodies; law enforcement agencies; or statutory authorities from exercising their powers, conducting investigations, or initiating proceedings in accordance with applicable law. The arbitration and dispute resolution provisions of these Terms shall not restrict any rights, powers, or remedies available to such authorities under applicable law.

16.16 Severability of Dispute Resolution Provisions

If any provision of this Section, including any provision relating to: arbitration; class action waivers; jurisdiction; limitation periods; or dispute resolution procedures, is determined by a court or competent authority to be invalid, illegal, or unenforceable, the remaining provisions of this Section shall remain in full force and effect to the fullest extent permitted by applicable law.

16.17 Costs and Expenses

Unless otherwise required by applicable law or determined by the arbitrator or competent authority, each party shall bear its own: legal fees; professional fees; costs; and expenses incurred in connection with any dispute resolution proceedings. The fees and expenses of the arbitrator shall be allocated in accordance with applicable law or the directions of the arbitrator.

16.18 Good Faith Resolution

The parties agree to act in good faith and make reasonable efforts to resolve disputes efficiently, fairly, and in a manner that minimizes unnecessary costs and disruption. Nothing in this provision obligates either party to accept a settlement proposal or waive any legal rights.

17. Contact Information & Grievance Redressal

17.1 Contact Information

Users may contact Wihaa regarding: the Platform; Services; subscriptions; technical issues; legal matters; privacy matters; or other inquiries through the contact details published on the Platform from time to time, or by email at support@wihaawardrobe.com.

17.2 Customer Support

Wihaa may provide customer support through: email; contact forms; in-app support; chat services; help centres; or other communication channels. The availability of support channels may vary based on: location; subscription plan; service availability; or operational requirements.

17.3 Grievance Officer

In accordance with applicable laws, Wihaa may designate a Grievance Officer to address: user complaints; grievances; legal notices; policy concerns; and statutory requests. The name and contact details of the Grievance Officer shall be published on the Platform and may be updated from time to time.

17.4 Privacy and Data Protection Contact

Users may contact Wihaa regarding: privacy concerns; data protection requests; consent withdrawals; deletion requests; and data access requests through the designated privacy contact details published on the Platform.

17.5 Intellectual Property Complaints

Users and third parties may submit complaints relating to: copyright infringement; trademark infringement; misuse of confidential information; impersonation; or intellectual property concerns through the designated reporting channels made available by Wihaa.

17.6 Response Timelines

Wihaa shall make reasonable efforts to: acknowledge communications; review complaints; and respond to requests within reasonable periods in accordance with applicable laws, operational requirements, and the nature of the request. Nothing in this Section guarantees a specific resolution time unless otherwise required by law.

17.7 Escalation Process

If a user is dissatisfied with an initial response, the user may utilize any escalation procedures made available by Wihaa from time to time. Wihaa may establish separate escalation procedures for: subscription matters; privacy matters; intellectual property complaints; marketplace disputes; or enterprise customers.

17.8 Electronic Communications

By using the Platform, users consent to receive communications from Wihaa electronically, including through: email; notifications; in-app messages; SMS; or other electronic means. Electronic communications shall satisfy any legal requirement that communications be in writing, to the extent permitted by applicable law.

17.9 Legal Notices

Legal notices to Wihaa shall be sent to the address or email address designated by Wihaa for legal communications and published on the Platform from time to time. Users are responsible for ensuring that their contact information remains accurate and up to date.

17.10 Changes to Contact Information

Wihaa reserves the right to: modify; replace; or update its contact details, support channels, designated officers, or communication procedures by updating the relevant information on the Platform. Such updates shall become effective upon publication unless otherwise required by applicable law.

17.11 Language of Communications

Unless otherwise required by applicable law, communications with Wihaa shall be made in the English language. Wihaa may, at its discretion, provide support in additional languages without creating any obligation to do so.
